This Seller Agreement ("Agreement") governs your participation as a seller on the ReciScan platform. By creating a seller profile, connecting Stripe, or listing a cookbook for sale through the ReciScan Portal, you agree to the terms below.
If you do not agree to this Agreement, you may not sell cookbooks through ReciScan.
ReciScan provides a platform that allows users to create cookbooks using the ReciScan mobile application and, if they choose, offer printed copies of those cookbooks for sale.
ReciScan handles book production, printing, and fulfillment. Sellers independently set a markup and may earn proceeds from eligible sales.
To become a seller, you must:
Only cookbooks created using the ReciScan app and associated with a valid Order ID are eligible for sale. ReciScan reserves the right to review or reject any submission that does not meet platform requirements.
Sellers operate independently and are not employees, agents, partners, or representatives of ReciScan.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between you and ReciScan.
ReciScan uses Stripe Connect to process customer payments and issue seller payouts.
By becoming a seller, you agree to Stripe's applicable terms and acknowledge that:
Payout timing and availability are determined by Stripe and may vary based on your Stripe account status.
Sellers may set a markup for eligible cookbooks offered for sale.
Sellers acknowledge that the final customer price includes both the seller's markup and additional costs associated with printing and fulfillment.
ReciScan reserves the right to adjust base pricing to reflect changes in production or fulfillment costs.
Sellers are solely responsible for determining, reporting, and remitting any applicable taxes arising from their earnings, including income, sales, VAT, or other taxes.
ReciScan does not provide tax advice. Stripe may issue tax reporting documents (such as Form 1099) as required by law.
Sellers retain ownership of their cookbook content.
By listing a cookbook for sale, sellers grant ReciScan a non-exclusive, worldwide license to reproduce, print, distribute, and display the content solely for the purpose of fulfilling orders and operating the platform.
Sellers represent and warrant that:
ReciScan manages the printing and fulfillment of cookbooks.
Because cookbooks are custom printed, refunds and returns may be limited. ReciScan may, at its discretion, issue refunds, reprints, or other remedies to resolve customer issues.
Refunds or chargebacks may result in adjustments to seller earnings, including deductions from future payouts.
Sellers agree not to:
ReciScan reserves the right to suspend or terminate seller accounts, remove listings, or withhold payouts in cases of suspected fraud, abuse, or policy violations.
ReciScan does not guarantee sales volume, revenue, or continued platform availability.
The platform is provided "as is" and "as available."
To the maximum extent permitted by law, ReciScan shall not be liable for indirect, incidental, or consequential damages arising from your participation as a seller.
ReciScan's total liability related to this Agreement shall not exceed the amount paid to you through the platform in the preceding twelve (12) months.
ReciScan may update this Agreement from time to time. Continued participation as a seller after changes take effect constitutes acceptance of the updated Agreement.
This Agreement is governed by the laws of the State of [Your State], without regard to conflict of law principles.
